APPROVED PHASE ONE POLICY

Terms of Service

The rules governing Skillose's public website and the founding-vendor accounts that affirmatively accept them.

Version 2026-10-18-phase-one-final

Last updated: October 2026 | Effective upon publication and affirmative acceptance at registration.

1. OPERATOR, PURPOSE AND SCOPE

1.1. Platform and operator.

Skillose (the “Platform”), at skillose.com, is operated by D&A Build Consultant LLC, formed in New York in 2014 and authorized to transact business in North Carolina under a certificate of authority issued in 2016 (“Skillose,” “we,” “us,” or “our”). The company’s principal operations and mailing address are in North Carolina. Skillose offers business information and a limited founding-vendor registration program.

1.2. Who these Terms cover.

These Terms of Service (“Terms”) state the rules for the public website and govern the contractual relationship formed by a founding-vendor account holder who affirmatively accepts them. Mere passive browsing does not by itself establish affirmative contractual consent. “Vendor” means the individual or legal entity whose business is represented by a registered vendor account; “Account Holder” means the individual creating or administering that account. “Content” means text, photographs, logos, listings, offers, links, and other materials submitted to or through the Platform.

1.3. Founding-vendor release.

The October 26, 2026 Phase One release permits public informational pages and eligible founding-vendor registration, email confirmation, sign-in and password reset, preparation of private business profiles and private media, the Skillose Credits and vendor-referral program, free resources and a scripted information guide, account/privacy controls, and contact, copyright, privacy and safety reporting. Customer accounts, public marketplace listings or searchable Vendor profiles, appointments, messaging, verification badges, paid or sponsored promotion, recurring subscriptions, live payments, Gift and Support, connected-account payouts, published reviews, business-document creation, and generative AI tools are unavailable. A preview or sandbox function is not an available public service.

1.4. No brokerage or service-provider role.

Skillose is a technology and information platform. It does not employ, supervise, license, insure, approve, guarantee, or act as agent for independent Vendors merely because they register or appear on the website. Skillose is not a party to any later contract between a Vendor and a customer unless a separate written agreement expressly states otherwise.

1.5. Geographic eligibility.

Founding-vendor registration is available only to adults authorized to represent a business that either operates from North Carolina or actively offers products or services in North Carolina, subject to Skillose’s eligibility checks and capacity limits. A business need not be physically headquartered in North Carolina solely to meet the second criterion. Applicants must identify their true physical business location and their actual North Carolina operations or service activity; false North Carolina addresses are prohibited. Skillose may request supporting information and reject or restrict ineligible applications.

2. ELIGIBILITY, BUSINESS AUTHORITY AND ACCOUNT CREATION

2.1. Adults only.

A person must be at least 18 years old and capable of entering an enforceable agreement to open or administer an account. By registering, the Account Holder affirms that the age requirement is met. Skillose may request reasonable age or identity confirmation, but a validated email address alone does not verify age or identity. Accounts identified as belonging to minors may be suspended or closed.

2.2. Authority to bind the Vendor.

If acting for an LLC, corporation, nonprofit, partnership, or other entity, the Account Holder represents that they are authorized to create the profile and bind that entity to these Terms. The individual and represented business are responsible for information provided through the account, subject to applicable law. An assumed name or DBA is not itself a separate legal person; the Account Holder must accurately identify the proprietor or entity operating under that name.

2.3. Available classifications.

Registration may offer individual/sole proprietor, registered business, and assumed name/DBA categories. Selection of a category is an administrative classification, not confirmation of a legal status or a substitute for required registration, professional licensing, or insurance.

2.4. Accurate registration.

Account Holders shall give current, complete, and accurate name, business, contact, and classification information, maintain a valid email address, and promptly correct material inaccuracies. Skillose may request supporting records where necessary to investigate fraud, an impersonation report, or a potentially unlawful listing.

2.5. Credential security.

Account Holders shall maintain confidential passwords and reasonably secure access devices, not share login credentials with unauthorized persons, and promptly report suspected compromise through Skillose's Contact or Report a Problem function. Account activity may be attributed to the account unless evidence reasonably establishes unauthorized access.

2.6. Account decisions.

Registration does not create a right to approval, publication, a particular feature, continued hosting, leads, or a future paid plan. Skillose may impose reasonable geographic, risk-based, eligibility, capacity, and launch-stage restrictions consistent with applicable law.

3. ELECTRONIC ACCEPTANCE AND COMMUNICATIONS

3.1. Affirmative agreement.

During Vendor registration the Account Holder must select an initially unchecked acceptance control adjacent to accessible links to these Terms and the Privacy Policy. The required wording confirms that the Account Holder is at least 18, is authorized to represent the business, agrees to the Terms, and acknowledges the Privacy Policy. Submission after affirmative selection records agreement to the version presented; passive browsing or acceptance of optional marketing cannot substitute for it.

3.2. Records of assent.

Skillose records the Account Holder, represented business and relationship, registration path, accepted Terms and Privacy Policy versions, SHA-256 hashes of the policy bodies, timestamp, affirmative acceptance method, IP address, user agent and relevant account identifier, consistent with the Privacy Policy. A material future change will be versioned and submitted for renewed assent when required. Electronic acceptance is subject to applicable law.

3.3. Service notices.

Skillose may send operational email regarding account activation, verification, password recovery, material account-status changes, security, and the Platform. These are distinct from optional promotional marketing, which requires separate treatment and opt-out where applicable. No appointment reminder or customer communication feature is promised before it is publicly activated.

4. FOUNDING-VENDOR LISTINGS AND BUSINESS RESPONSIBILITIES

4.1. Free registration and private preparation.

Eligible founding Vendors may register and prepare a private business profile without a subscription charge. A private profile or uploaded image is not a public advertisement or searchable marketplace listing during Phase One. Credits may accrue under Section 10 but cannot be redeemed at launch. Registration does not place a Vendor into a paid plan, trial conversion, purchase, automatic charge, or subscription.

4.2. Business responsibility.

Each Vendor, not Skillose, is responsible for its organization, permits, professional licenses, occupational qualifications, business registration, insurance, tax compliance, products, services, marketing representations, pricing, fulfillment, warranties, cancellations, customer refunds, and consumer-protection obligations. Vendors must comply with applicable local, state, and federal law and remain appropriately qualified where they offer regulated services.

4.3. Claims and substantiation.

Vendors must make truthful, current, and substantiated claims concerning licenses, credentials, certifications, insurance, location, inventory, service areas, experience, benefits, availability, and professional status. Vendors shall not use a profile to imply government affiliation or endorsement by Skillose that has not been expressly authorized.

4.4. Rights and authorizations.

Vendors shall possess the rights, permissions, and lawful authority needed to post business names, logos, photographs, trade names, brands, testimonials, images of other people, offers, and external links. A Vendor shall obtain any consent or release required for third-party personal information, likenesses, or intellectual property before publication.

4.5. Offers reserved for later release.

Product, service, featured-offer, holiday-promotion, paid-advertising and public marketplace fields are not publicly active during Phase One. If later activated under updated rules, Vendors must disclose genuine pricing, availability, material conditions and restrictions; misleading scarcity, unsupported prices or unsubstantiated claims remain prohibited.

4.6. Sponsored content and referral disclosures.

A Vendor who shares a Skillose referral link must comply with Section 10 and applicable anti-spam, advertising and endorsement laws. If a referral benefit or other material connection could affect the credibility of a promotional recommendation, the Vendor must disclose it clearly and close to the recommendation. Public sponsored or affiliate offers are not enabled at launch.

4.7. Independent transactions.

If a visitor or future customer contacts a Vendor outside the Platform, the Vendor is responsible for lawful contracting, delivery, safety, taxes, deposits, insurance, disputes, and refunds. Skillose does not independently inspect goods or services and makes no guarantee about a Vendor's performance. Nothing in these Terms prevents consumers from exercising rights that cannot lawfully be waived.

5. PUBLIC BUSINESS PROFILES, LOCATION AND VERIFICATION

5.1. Profiles remain private during Phase One.

Vendors may prepare descriptions, category details, locations, logos and permitted media inside restricted account controls, but Skillose will not publish founding-vendor listings or make actual profiles searchable to the public at this stage. Account preparation grants no promise of later publication, ranking, distribution or public accessibility. Skillose will give appropriate notice and update its policies before enabling public Vendor listings.

5.2. Private records and media.

Account login details, private business addresses, profile drafts, uploaded photographs and gallery files, support records, verification materials, tax or payment identifiers and security records are intended to remain available only to the Account Holder and authorized Skillose personnel or processors for lawful operational purposes. Vendors must not upload sensitive records into ordinary profile fields or insecure messages. Private storage does not guarantee that unauthorized access is impossible.

5.3. Genuine locations.

Vendors must give truthful operating and service-location information, including when their principal office is outside North Carolina but their services or products are actively offered into North Carolina. Profile-location settings, public search, Near Me and consumer location features are not available in Phase One. Location data may be held privately for account administration and future eligibility checks as described in the Privacy Policy.

5.4. Email confirmation is not a badge.

Skillose may verify that a registrant controls an email address, but no public identity, registration, professional-license, insurance, background, charity or endorsement badges are available during Phase One. Email confirmation is neither an independent identity check nor assurance of the Vendor’s competence, safety or compliance.

5.5. Accuracy and review.

Skillose may request correction, supporting evidence or removal of false or unlawful profile information. Private account acceptance does not imply Skillose approval of licensing, quality, suitability, insurance or business standing. Skillose may defer publication after Phase One pending any later, separately documented review procedures.

6. COMMUNITY STANDARDS AND PROHIBITED ACTIVITY

6.1. Required conduct.

All users shall interact lawfully and respectfully, make accurate submissions, and refrain from acts that jeopardize other users, the Platform, or the public.

6.2. Prohibited conduct.

Users shall not: (a) impersonate another person or business or submit fabricated credentials; (b) promote illegal or unlicensed activity; (c) commit fraud, phishing, deceptive fundraising, or financial scams; (d) post harassment, threats, discriminatory intimidation, exploitation, or nonconsensual intimate content; (e) upload stolen, infringing, defamatory, deceptive, or unlawfully obtained content; (f) expose third parties' private or sensitive information without authorization; (g) offer prohibited or unsafe goods or services; (h) submit false reviews, ratings, testimonials, endorsements, or artificial engagement; (i) use automated scraping, spam, malware, attempts at unauthorized access, or circumvention of platform safeguards; or (j) manipulate listings, referrals, credits, or metrics by deceptive means.

6.3. Sensitive submissions.

Users shall not submit Social Security numbers, payment-card information, health records, government identity images, passwords, or other unnecessary sensitive information in public fields or ordinary messages. If Skillose specifically requests regulated or sensitive records for a legitimate verification procedure, use only its approved secure submission channel.

6.4. External destinations.

Vendors may publish permitted links only to lawful, accurate, and secure destinations. Skillose may remove links to malware, misleading checkout pages, impersonation, prohibited goods, or other high-risk material. Skillose is not responsible for third-party websites, their privacy practices, or their content.

7. OWNERSHIP AND LIMITED CONTENT LICENSE

7.1. Vendor ownership.

Vendors retain their ownership rights in their Content. These Terms do not transfer ownership of Vendor business identities or materials to Skillose.

7.2. License for private operations.

By submitting Content, a Vendor grants Skillose a nonexclusive, worldwide, royalty-free license, including necessary sublicensing to hosting and service providers, to securely store, process, resize, analyze for safety, reproduce internally, back up and display Content within that Vendor’s authorized private account as reasonably required to provide current services. This Phase One license does not itself authorize public profile publication, search indexing or unrelated paid advertising. A later public-content license, if needed, will be disclosed before public posting is enabled.

7.3. No unrelated advertising transfer.

The preceding license does not independently authorize Skillose to sell a Vendor's Content as a standalone asset or use a Vendor's name, logo, or likeness in unrelated paid advertising without a separate lawful basis or permission.

7.4. Duration, removal and records.

The license continues while Content is maintained in an account and only thereafter to the extent required for lawful backups, incident response, dispute preservation, recordkeeping or legal compliance. Subject to law and the Privacy Policy, Vendors may edit or request deletion of eligible private Content; Skillose may restrict or remove unlawful or high-risk materials. A future public-posting option requires updated privacy and content disclosures.

7.5. Skillose materials.

Skillose's software, user interface, design, text, branding, and proprietary website materials remain the property of Skillose or its licensors. Users receive a limited, revocable, nontransferable right to use accessible features in compliance with these Terms. No source-code access, sublicensing, or trademark license is granted.

7.6. Feedback.

A user who voluntarily submits product suggestions permits Skillose to consider and use those suggestions for lawful improvement without an obligation to pay, provided Skillose does not claim ownership of independently protected material contrary to applicable law.

8. COPYRIGHT COMPLAINTS AND REPEAT INFRINGEMENT

8.1. Respect for copyright.

Users may post material only if they own it, have necessary permission, or have a lawful basis for doing so. Skillose prohibits repeated infringement and will maintain and reasonably implement a repeat-infringer termination policy in appropriate circumstances. Its administration of that policy, including account restrictions and recordkeeping, must comply with applicable law.

8.2. Infringement notice.

A copyright owner or authorized agent may report allegedly infringing material through the Platform's copyright reporting channel or designated agent. To the extent 17 U.S.C. § 512(c)(3) applies, the notice should identify (a) the copyrighted work; (b) the allegedly infringing material and information reasonably sufficient to locate it, preferably a URL; (c) the complainant's name and contact information; (d) a good-faith statement that the use is not authorized by the owner, the owner's agent, or law; (e) a statement under penalty of perjury that the notice is accurate and the complainant is authorized to act; and (f) a physical or electronic signature.

8.3. Response and notice to account holder.

Skillose will act expeditiously to remove or disable access to material when required under an applicable Section 512 notice-and-takedown process, and may remove or restrict other material on legally supportable grounds. When the statutory process applies, Skillose will notify the affected account holder as required. Skillose may also act on noncopyright safety reports under Section 9.

8.4. Counter-notification.

A person who believes material was removed because of mistake or misidentification may send a counter-notice including: their signature; identification and prior location of the material; a statement under penalty of perjury of good-faith belief in mistake or misidentification; their name, address, and telephone number; and a statement consenting to the jurisdiction of the appropriate federal district court and accepting service from the original notifier or agent, as required by 17 U.S.C. § 512(g)(3).

8.5. Restoration.

Where the Section 512 counter-notice mechanism governs and a valid counter-notice is received, Skillose will follow the statutory notice process and applicable restoration window, generally not less than 10 and not more than 14 business days after receipt, unless the notifying party provides notice of a qualifying court action.

8.6. Repeat infringer policy.

Skillose will implement a documented procedure to record copyright complaints and relevant infringement events, evaluate repeat conduct fairly, and terminate access in appropriate repeat-infringer circumstances. It will accommodate standard technical measures as required for any claimed statutory safe harbor. Users who make knowing material misrepresentations in copyright notices or counter-notices may incur liability under applicable law.

8.7. Registered copyright agent.

D&A Build Consultant LLC has designated the “Skillose Copyright Agent” with the U.S. Copyright Office under registration DMCA-1083309, effective October 17, 2026, including Skillose, skillose.com and www.skillose.com as alternate names. Notices of claimed infringement and counter-notifications may be sent to the designated contact below. This registration does not by itself establish compliance with every condition of 17 U.S.C. § 512; Skillose will maintain an appropriate notice, counter-notice and repeat-infringer procedure. DMCA designated agent or department: Skillose Copyright Agent, D&A Build Consultant LLC Agent mailing address: 202 E Arlington Blvd, Suite E, Greenville, NC 27858 Agent email address: copyright@skillose.com Agent telephone: (919) 780-7998

9. MODERATION, ENFORCEMENT AND APPEALS

9.1. Reporting.

Suspected fraud, impersonation, unlicensed activity, unsafe offers, intellectual-property infringement, harassment, and other potential violations may be reported through Skillose's Report a Problem or Contact functions. The Platform is not an emergency response or law-enforcement service. If there is an immediate danger, contact local emergency services rather than relying on a Skillose report.

9.2. Review practices.

Skillose may use limited automated screening, human review, reports, and supporting records to assess potential violations. Any automated screening is imperfect and does not constitute comprehensive monitoring or verification of all content. Skillose does not undertake a general duty to preapprove every Vendor or posting.

9.3. Measures.

Depending on risk, severity, and available information, Skillose may request correction, restrict specific Content or features, withhold or remove publication, issue a warning, suspend access, terminate an account, or preserve relevant evidence as legally permitted. Immediate action may be taken where reasonably necessary to address imminent harm, security threats, apparent unlawful conduct, or substantial fraud risk.

9.4. Notice and reconsideration.

Where feasible and legally appropriate, Skillose will provide an affected Vendor with notice of a material restriction and an opportunity to request reconsideration through the Contact function. Skillose may withhold information that would compromise safety, security, confidential reporting, investigations, or legal obligations. Reinstatement is not automatic.

9.5. Preservation and lawful disclosures.

Skillose may preserve relevant records and respond to lawful legal process, governmental demands, preservation obligations, or safety threats, consistent with applicable law and the Privacy Policy. Reports do not guarantee any particular investigative or enforcement outcome.

10. CURRENT SKILLOSE CREDITS, REFERRALS AND FUTURE FEATURES

10.1. Phase One credits program.

“Skillose Credits” are internal promotional units that eligible founding Vendors may earn during Phase One. Each eligible founding-vendor account receives 10 welcome credits one time after confirming its registration email. Only valid, active, eligible accounts qualify. Receiving Credits does not entitle anyone to a payment, present discount, public listing, customer lead, future subscription or guaranteed redemption.

10.2. Qualified Vendor referral.

A referring eligible Vendor may receive 15 Credits when a genuinely new, eligible referred Vendor creates an account through a valid attributable referral, confirms its email and meets the published program requirements. Each referred account can qualify once only. Skillose may rely on recorded invitation/referral attribution and supporting account activity; if competing or ambiguous claims arise, an award may be held while Skillose reviews the records. No Vendor can refer itself, control duplicate qualifying accounts or manipulate qualification.

10.3. Customer referrals deferred.

Customer accounts are not open during Phase One. Sharing a customer-oriented referral invitation does not trigger any customer referral Credit until customer registration officially launches under then-applicable, separately reviewed rules. No present entitlement is created for a future customer referral.

10.4. No cash value or redemption.

Credits are promotional only, cannot be withdrawn, sold, gifted, assigned, exchanged for cash or transferred between accounts, and have no active credit-to-dollar conversion value. No paid feature or Credit redemption is available in Phase One. Receiving or accruing Credits never creates a charge, paid enrollment, purchase, subscription, or automatic renewal.

10.5. Reversal and invalid awards.

Skillose may withhold, adjust or reverse Credits awarded through fraud, self-referral, repeated or duplicate registration, error, manipulation or other program violations. Skillose may review account and attribution records, document the reason for correction, and allow an affected Account Holder to seek a reasonable review through Contact & Support, subject to safety and fraud controls.

10.6. No expiry while unusable; closure.

Credits will not expire while redemption is unavailable. Unused Credits are forfeited on permanent account closure or termination, subject to any mandatory law. Temporary restrictions or investigations do not automatically forfeit valid Credits, although the balance may be frozen pending review.

10.7. Future redemption requires new terms.

Before enabling any redemption, Skillose will disclose eligible uses, conversion value (if any), redemption limits, restrictions, prospective expiration conditions and other material rules, and obtain any legally required consent. Nothing in the present program promises a specific conversion rate, date of availability, or acceptance of Credits for a particular purchase. A new fee, recurring plan or payment option cannot be activated merely because a Vendor has Credits.

10.8. Lawful invitations and referrals.

A Vendor may share a Skillose referral invitation only lawfully, without unsolicited bulk communications, misleading claims, spoofing, scraping, purchased contact lists or unauthorized access to contacts. Where a referral benefit creates a material connection to a recommendation, the Vendor must disclose the incentive clearly. Skillose may suspend a participant’s referral privileges for violations. Each sender remains responsible for applicable advertising, consent and commercial-email requirements.

10.9. Later marketplace and paid functions.

Customer marketplace accounts, private customer-to-vendor messaging, booking requests, automated reminders, public reviews, searchable listings, paid plans, Holiday Promotion purchases, storage add-ons, Gift and Support, connected payouts and generative AI remain disabled. Later activation requires new disclosures and applicable feature-specific legal terms. No request becomes a booked appointment without the Vendor’s affirmative confirmation after an appointment feature is launched.

11. EDUCATIONAL INFORMATION AND THIRD-PARTY RESOURCES

11.1. General resources only.

Skillose may present educational information about business formation, tax identifiers, business credit, branding, marketing, and fraud awareness and link to government or third-party resources. This information is general and is not individualized legal, accounting, tax, investment, lending, or other regulated professional advice.

11.2. Independent verification.

Skillose is privately owned and is not a government agency, licensing authority, lender, law firm, or accounting firm. Users should verify legal requirements and current official guidance directly with responsible authorities or qualified professionals before acting.

11.3. Scripted assistance.

The available Skillose informational guide provides predetermined responses and is not a generative AI service, professional counseling, or authoritative determination of business eligibility, licensing, tax obligations or legal compliance. Users should independently verify information relevant to their circumstances.

12. AVAILABILITY, DISCLAIMERS AND ALLOCATION OF RISK

12.1. As available.

To the fullest extent permitted by law, Skillose provides the Platform and its informational content on an “as available” and “as is” basis, without promises of uninterrupted uptime, error-free operation, a minimum audience, revenue, leads, opportunities, discoverability, successful registration, or particular outcomes. This does not exclude express commitments that Skillose separately makes in writing or nonwaivable legal obligations.

12.2. Third-party conduct.

Skillose does not warrant independent Vendors' licensing, identities, qualifications, advertising, products, availability, finances, workmanship, safety, or legal compliance. Verification and moderation measures are limited and do not constitute a guarantee or professional inspection.

12.3. No warranty of third-party links.

Third-party websites, resource links, and Vendors' external sites operate under their own terms and data practices. Skillose is not responsible for their operation merely because they are linked or identified on the Platform, subject to applicable law.

12.4. Nothing waived by law.

No limitation or disclaimer in these Terms excludes liability for fraud, willful misconduct, or another category of harm to the extent exclusion is prohibited, restricts a legally protected report or complaint, or removes any nonwaivable consumer or privacy right.

13. INDEMNIFICATION AND LIABILITY

13.1. Vendor indemnity.

To the extent enforceable, a Vendor will defend and indemnify Skillose and its officers, employees, and agents against third-party claims, losses, reasonable defense costs, and liabilities arising from the Vendor's unlawful conduct, infringement, materially false representations, breach of these Terms, or products and services offered by the Vendor, except to the extent caused by Skillose's own negligence, misconduct, or legally nonindemnifiable acts.

13.2. Indemnity process.

Skillose will give reasonably prompt notice of a claim, permit reasonable Vendor participation in a defense that the Vendor is legally able and obligated to provide, and cooperate appropriately. No Vendor may agree to a settlement that imposes an admission, nonmonetary obligation, or ongoing restriction on Skillose without Skillose's prior written consent, not to be unreasonably withheld. Failure to provide prompt notice will not relieve the Vendor except to the extent materially prejudiced.

13.3. Damages limitations.

To the extent allowed by law, Skillose and its personnel will not be liable for remote, speculative, special, incidental, or consequential damages (including asserted lost business opportunities, anticipated profits, or lost marketplace audience) arising solely from unavailability, delayed launch, independent vendor conduct, or ordinary platform changes. This exclusion does not bar recovery of direct damages or other relief that applicable law does not permit Skillose to exclude.

14. SUSPENSION, CLOSURE AND EFFECT OF TERMINATION

14.1. Voluntary closure.

Account Holders may request closure through available account or Contact controls. Skillose may verify authority before processing a closure request, especially where a business has multiple representatives or an unresolved legal dispute.

14.2. Service suspension or closure.

Skillose may suspend or close accounts under Section 9 or where it ends a preview, beta, or feature. Where feasible, Skillose will provide reasonable notice except where immediate action is warranted by legal or safety concerns.

14.3. Post-closure.

Publication and account access may stop following closure. Skillose may retain records where reasonably necessary for security, lawful backups, unresolved complaints, tax or legal obligations, or dispute preservation, as described in the Privacy Policy. Closing an account does not waive accrued legal rights or obligations. Provisions concerning intellectual property, limitation of liability, dispute resolution, and rights accrued before closure survive to the extent their terms require.

15. APPLICABLE LAW AND DISPUTES

15.1. Governing law.

Except where another law mandatorily applies, these Terms and disputes concerning the Platform are governed by North Carolina law, without applying choice-of-law principles that would displace that law. The parties acknowledge Skillose's principal operations in North Carolina, although its operating entity was formed in New York.

15.2. Informal resolution.

Before starting ordinary civil litigation, a user is encouraged to contact Skillose through its Contact function with a clear description of the dispute and requested resolution. This optional procedure does not delay a statutory filing deadline, preclude emergency relief, or restrict agency complaints.

15.3. Courts.

Where legally permissible and subject to mandatory venue and jurisdiction rules, disputes may be brought in state or federal courts of competent jurisdiction in North Carolina. These Terms do not impose binding arbitration, a class-action waiver, or a waiver of jury trial.

15.4. Preservation of rights.

Users retain the right to report conduct to regulators, cooperate with law enforcement, seek relief in a competent court, and assert any right that cannot lawfully be waived.

16. CHANGES, NOTICES AND GENERAL PROVISIONS

16.1. Term changes.

Skillose may update these Terms when operations or legal requirements change. The updated document will identify its new effective date. Material amendments affecting registered Vendors will be presented with appropriate notice and renewed affirmative assent where legally required or reasonably necessary. A preview of an unavailable feature does not automatically amend these Terms to activate that feature.

16.2. No transfer by users.

Account Holders may not assign an account or transfer administrative control to another business without Skillose's permission. Skillose may transfer these Terms as part of a lawful reorganization or sale with appropriate notice and compliance with applicable privacy obligations.

16.3. Severability and waiver.

If a provision is unenforceable, the remainder continues to the extent legally permissible and consistent with the Terms' essential purpose. Failure to enforce a provision is not a permanent waiver.

16.4. Entire agreement.

These Terms and any feature-specific terms affirmatively accepted when a future feature is activated constitute the applicable contractual terms for use of the Platform. The Privacy Policy is a separate notice about information practices and does not itself enlarge the contractual duties stated in these Terms. Specific later feature terms control only the subject matter they expressly cover. No future paid-feature term is incorporated by a staging preview alone.

16.5. Contact.

For account, fraud, safety and other support matters, use Skillose’s Contact or Report a Problem function or email support@skillose.com. Privacy inquiries may be directed to privacy@skillose.com. Copyright claims should be directed to copyright@skillose.com. Mail regarding Skillose may be sent to the company at the address below.
